D21 OS PARTNER TERMS OF USE · Version 1.0 D21 ECOM LLC ("D21", "we") · 2108 N St, Ste N, Sacramento, CA 95816 1. WHAT D21 OS IS. D21 OS gives your AI assistant access, through the D21 connector, to D21's proprietary operating procedures, templates, quality reviews, tools and support ("the Materials") for building and running e-commerce stores and marketing systems. 2. YOUR LICENCE. D21 grants you a personal, non-exclusive, non-transferable, revocable licence to use the Materials, through your own AI assistant and your own accounts, to build and operate your own lawful e-commerce businesses. All rights not expressly granted are reserved by D21. 3. CONFIDENTIALITY AND INTELLECTUAL PROPERTY. The Materials are D21's confidential information and trade secrets. You will not, and will not let any person or AI system: copy, download, export, save, scrape, crawl or bulk-collect the Materials; compile them into documents, prompts, knowledge bases, courses, products or competing services; use them to train or tune any AI model; share, resell or sublicense them or your access; share your login or connect anyone else's assistant; or reverse-engineer D21's reviews or rules. Every response is marked to your account. Automated or bulk extraction is monitored and ends access immediately. 4. LAWFUL AND RESPONSIBLE USE. D21 OS is built for responsible operators. You agree to use it only for lawful purposes and to comply with every law, regulation and platform policy that applies to your business, including advertising, consumer-protection, product-claim, labelling, privacy, email and text-messaging (for example CAN-SPAM and TCPA) laws, and the rules of the advertising, payment and commerce platforms you use. You will not use D21 OS to sell illegal or counterfeit products, make false or misleading claims, deceive or defraud anyone, evade platform enforcement, or harm consumers. 5. YOUR RESPONSIBILITY. You alone are responsible for your business, products, claims, advertising, compliance, accounts, spend and results, and for every action taken by your AI assistant. Any unlawful act is solely your own and is not authorised by D21. You will indemnify and hold D21 harmless from claims arising from your use of D21 OS or your breach of these terms. 6. ENFORCEMENT. D21 may suspend or end your access at any time, including immediately and without notice for any breach of sections 3 or 4. Accounts removed for unlawful or prohibited use are blacklisted and will not be reinstated. D21 may report unlawful activity to the appropriate authorities. 7. RECORDS. D21 keeps a permanent record of your acceptance of these terms (version, date and time, IP address and device information) and of your account activity on D21 OS (requests, Materials served, times, IP addresses), for security, protection of D21's intellectual property and legal purposes. 8. YOUR AI ASSISTANT. Your assistant runs on your own AI provider account and its usage is billed to you. D21 never accesses your AI provider account. Questions you send through the D21 Line may be answered by D21 staff or by D21's own AI assistant. 9. NO WARRANTY; LIMITATION OF LIABILITY. The Materials are provided "as is", without warranties of any kind, and no particular result is promised. To the fullest extent the law allows, D21 is not liable for indirect, incidental, consequential or lost-profit damages, and D21's total liability is limited to the amount you paid D21 for D21 OS in the 12 months before the claim. 10. CHANGES. D21 may update these terms. A new version takes effect when you accept it; continued access requires acceptance of the current version. 11. GOVERNING LAW.
